Nevada Exploration Completes $680,000 Second Tranche of Private Placement

Nevada Exploration Inc. (“NGE”) (TSX-V:NGE) today announced that it has closed, subject to TSX Venture Exchange final approval, the second and final tranche of the non-brokered private placement (“Offering”) previously announced on July 29, 2009.  Pursuant to this second and final tranche, NGE has issued 12,956,712 Units at a price of CAD$0.0525, for gross proceeds of CAD$680,227.  Each Unit consists of one common share and one-half of one non-transferable common share purchase warrant.  Each whole warrant will entitle the holder to purchase one common share at an exercise price of CAD $0.10 for a period of two years.  In the event that NGE’s volume weighted average share price averages at or above CAD $0.20 per share for 20 consecutive trading days on the TSX Venture Exchange, then NGE shall have the right to accelerate the warrant exercise period to the 30th day after the date on which NGE gives notice of acceleration.  All Units issued are subject to a four month hold period expiring January 3, 2010, as well as to any other re-sale restrictions imposed by applicable securities regulatory authorities.

On August 21, 2009, NGE announced the closing of the first tranche for total gross proceeds of CAD$422,045, through the issuance of 8,038,961 Units.  Upon completion of the second and final tranche, NGE has issued an aggregate of 20,995,673 Units for total gross proceeds of CAD$1,102,272.

A portion of proceeds (CAD$353,749.83) of this second and final tranche, and the resulting Units (6,738,092), are being held in trust pending definitive approval by the TSX Venture Exchange of a subscription.  The offer made by this subscription is irrevocable and requires only acceptance of the TSX Venture Exchange.

NGE paid finders’ fees in connection with a portion of this second and final tranche to Canaccord Capital Corporation (“Canaccord”).  Canaccord received CAD$8,752.50 in cash, and 161,000 Broker Warrants exercisable under the same terms as those warrants issued as part of the Units in the Offering.  All Broker Warrants are subject to a four month hold period expiring January 3, 2010.

The proceeds of this second and final tranche will be used to further NGE’s exploration projects and for general working capital
